Program Designed to Help Investors and Entrepreneurs Understand the Unique Risks and Benefits of Start-Up Business Ventures.

The University of California, Irvine Extension announced plans to offer a new course designed to help those already engaged in or planning to engage in a start-up business to better understand the financial and legal needs of a new business. The four-day course, “Corporate Formations and Capital Raising,” will be held on two consecutive Fridays and Saturdays beginning March 7 at the UC Irvine campus.

“Few entrepreneurs realize just how different start-up ventures are from other business ventures,” said Eugene E. Mueller, JD, MBA, CPCU and UC Irvine Extension course instructor. “The financial demands and the legal expertise required to most profitably and responsibly grow these businesses are very different than the requirements of other businesses. This course provides ‘hands-on’ experience and offers tangible solutions to some of today’s more pressing start-up concerns.”

Students participating in the course will learn how to identify the need for external financing, hire appropriate legal counsel, leverage basic valuation principles for private companies, better determine staffing, and articulate the features of equity, debt and hybrid securities – a mainstay in capital fundraising.

“While California’s economy is expected to undergo a shift in the next few years, there are those who believe that now is the time for enterprising businesspersons to take responsible advantage of these changes in the marketplace,” said Lori Munoz-Reiland, director of business, management, legal, information technology and corporate solutions for UC Irvine Extension. “Those entering into start-up businesses need to understand the legal and financial risks. By taking a course like this one, potential business owners and investors can learn about the ups and downs of start-ups before making an investment.”
